Barcelone, le 20 juin 2008 - Aujourd'hui, Service Point Solutions S.A. (ticker : SPS.MC) a signé et achevé, par l'intermédiaire de sa filiale Service Point Netherlands Holdings B.V., l'acquisition de 100 % des actions de KSB Groep B.V. et de 75 % des actions de Xtreme Print B.V.

KSB est l'une des plus importantes sociétés de petit et grand format, de conception graphique, de matériel de présentation et de publicité comme de reprographie numérique aux Pays Bas. KSB fournit également du matériel publicitaire pour l'extérieur en grand format sous le nom de Xtreme Print.

KSB originates from a merger between Buurke Repro (founded 1922) and KS Repro (founded 1993) on 1 January 2004. The Company is strategically located in the North East of the Netherlands with 5 locations in Apeldoorn, Assen, Drachten Leeuwarden and Zwolle. The Company employs around 50 professionals and in 2007 generated revenues in excess of 5.5ME.

KSB has a longstanding, strong and recurrent customer base including many blue chip customers. Main clients include: Bam, Vitens, Dura Vermeer, High school, Grontmij, Rijkswaterstaat, Nijhuis Bouw, Wärtsila, Heijmans, NS (Dutch Railway), Inbo Architects, Tebodin

The key business strategy supporting the acquisition is:

- Acquiring one of the leading providers of large format reprographics and display graphics in the Netherlands.

- Provide Service Point Netherlands with full geographical coverage throughout the Netherlands and increase its strength in digital reprographics.

- Broadening Service Point Netherlands' service offering to the large format outdoor advertising materials such as outdoor construction advertising material.

- Increase the commercial strength of Service Point Netherlands, specifically in large format and display graphics, by adding an experienced management team and dedicated workforce.

- Gain from substantial synergies with the Service Point Netherlands organisation.

The enterprise value paid is 4.9ME with part of the purchase price as a deferred payment; this implies a deal multiple of approximately 4 times EBITDA 2007.

KSB represents the third acquisition completed this year by Service Point. Earlier this year Service Point has completed the acquisition of UCAD N.V. in Belgium and the acquisition of a 51% stake in Reprotechnique S.A. in France.
